CS Management Trainee

*Key responsibilities *

• Handle secretarial compliance for group companies under the Companies Act, 2013 and Secretarial Standards (SS-1/SS-2).
• Draft notices, agendas, minutes and resolutions for Board, Committee and General Meetings.
• Prepare and file MCA e-forms (e.g., AOC-4, MGT-7/7A, DIR-3 KYC, MGT-14, PAS-3, SH-7, DPT-3, ADT-1, INC-20A).
• Handle incorporation and post-incorporation compliance for newly formed companies.
• Maintain statutory registers, the minute books and a group-wide compliance calendar.
• Support PE transaction compliance: share allotments, issue of securities, valuation documentation, investor reporting and shareholder agreement (SHA) obligations.
• Handle FEMA/RBI compliance for foreign investment and overseas subsidiaries (FC-GPR, FC-TRS, ODI forms, APR, FLA return).
• Support drafting and review of agreements, NDAs and corporate documents.
• Research regulatory updates and prepare internal notes. **

*Eligibility *

• Passed the CS Professional (Final) examination.
• Registered with ICSI and eligible for the 21-month long-term internship.
• Graduate in Commerce or Law (LLB preferred).
• Sound knowledge of the Companies Act, 2013, FEMA and Secretarial Standards.
• Strong drafting skills and proficiency in MS Office and the MCA portal.
