Cytowski & Partners is looking for an entry level general corporate and transactional attorney to join its team. As an associate, you will work closely with our team to advise on various legal issues and support our clients. He or she will handle a wide range of matters such as technology transactions, financings, intellectual property, internet law, labor law; employment, compliance, and M&A.
Responsibilities:
• Draft and negotiate business startup financing documents (series seed, angel financing and venture financing).
• Draft and negotiate business development and sales-related agreements, licensing, partnership and other commercial agreements.
• Work on compliance, data privacy, and handle third party requests for clients.
• Work on labor & employment matters and implementation of policies and procedures.
• Support with stock administration and employee benefits matters of clients.
• Support M&A transactions and/or financing transactions.
Desired Skills and Experience:
• Experience in a law firm and preferably working with internet, mobile, software or other technology companies.
• Knowledge of Silicon Valley best practices and startup/venture capital transactional standards strongly preferred.
• Technology deal experience (technology licensing, product development, platform integrations, etc.) and financing.
• Prior experience with stock plans, employee benefits and corporate governance matters
• Familiarity with internet law and U.S. and international data privacy regulations.
• Adept at working in a fast-paced, high-activity environment with smart and creative people.
• Roll-up-your-sleeve self-starter, multi-tasker, and good problem-solver.
• Willing to tackle new subject matter areas with gusto.
• Good judgment and organizational skills, strong attention to detail, and outstanding work ethic.
• Must be a member of good standing of the California or New York Bar (or planning to sit for the California or New York Bar)
• J.D., or LLM degree.
• Foreign Language – Polish, Russian, Spanish.
