Job Description Experienced M&A, Finance and Corporate Attorney Needed Bay Area Law firm looking for Contract attorney. We have offices in SF and Orinda (east bay). Seeking an attorney with at least 5 years’ experience in M&A, Finance, and Corporate Law. Our team requires a fast-learner, someone who can research independently and is comfortable making judgment calls on his or her own, but who is also comfortable taking directing and working within an established system when required. In all cases, you will have substantial amounts of autonomy, and you will be expected to use that flexibility to grow your role within our practice. The ideal candidate can work remotely or from our office, however we would prefer to have someone who is able to be present at the office at least four days per week for the first few months. From day one, you will be interfacing with clients and working with the firm’s partners. What the Position Entails • Help entrepreneurs through the early stages of forming a company, or restructuring existing companies to appropriately fit their strategic goals. • Conduct legal research upon and analysis of financial regulatory matters, and guide clients through funding rounds, Angel, Series Seed and Series A, B & C rounds. • Assist with reviewing, drafting, and negotiating various types of commercial, intellectual property and sales agreements. • Take a leading role on structuring and closing assigned Mergers and Acquisitions. • Counsel and assist clients who are facing corporate disputes, such as founder disagreements and vendor disagreements, including drafting documents for arbitration, mediation and settlement offers. You must be comfortable working independently. Position will start as an independent contractor position, but with strong results, you will be considered for employment, and partnership eligibility may also be available to a highly successful candidate. Compensation is highly competitive and negotiable.
