FUNDRAISING MANAGER

Position: Fundraising Manager
Engagement Type: Performance-Based / Success Fee

1. Role Objective

The Fundraising Manager will be responsible for identifying, approaching, negotiating with, and facilitating potential investors and funding sources for Skandax Nexus Private Limited.

1. Responsibilities

• Identify potential angel investors, venture capital firms, strategic investors, institutions, and other legitimate funding sources.
• Generate and manage investor leads.
• Present the company's business model, products, projects, financial projections, and funding requirements.
• Arrange and coordinate investor meetings.
• Follow up with potential investors until completion of the fundraising process.
• Assist management during negotiations and due diligence.
• Maintain confidentiality of company and investor information.
• Coordinate with the directors until the investment amount is successfully received.

1. Performance-Based Compensation

The Fundraising Manager will receive a success fee based only on funds actually received by Skandax Nexus Private Limited through investors directly introduced or substantially facilitated by the Fundraising Manager.

₹25 lakh – ₹1 crore| 4%
₹1 crore – ₹5 crore| 3%
Above ₹5 crore| 2%

The applicable percentage will be calculated on the amount actually received by the Company.

1. Payment of Success Fee

The success fee shall become payable after the investment funds are credited to the Company's designated bank account.

Where an investment is received in multiple tranches, the corresponding success fee shall be paid proportionately after each tranche is received.

1. No Guaranteed Compensation

No fixed salary or guaranteed compensation shall be payable unless separately agreed in writing.

The Fundraising Manager's compensation is primarily performance-based and depends on successful fundraising.

1. Investor Protection

The Fundraising Manager shall not:

• Make unauthorized promises or representations to investors.
• Guarantee returns or profits.
• Alter company valuation or investment terms without written approval from the Company.
• Collect investment money in a personal bank account.
• Sign investment agreements on behalf of the Company without authorization.

1. Term

The engagement shall initially remain valid for 12 months, unless terminated earlier by either party according to the agreed termination terms.

1. Confidentiality

All business plans, financial information, investor information, intellectual property, technology, customer information, and other confidential information obtained during the engagement shall remain confidential.

1. Approval

All final investment terms, valuation, equity allocation, agreements, and acceptance of funds shall remain subject to approval by the authorized directors of Skandax Nexus Private Limited.
