About the Organization
We are a fast-growing climate-tech organization providing project finance advisory services to renewable energy and energy transition projects globally. To support our growth, we are seeking an experienced Associate General Counsel to work closely with the executive team, project finance professionals, technology, AI teams, and external regulators.
About the Role
The Associate General Counsel (AGC) will be a senior in-house legal leader, reporting to the Chief Legal Officer. The AGC will provide strategic, commercial, and regulatory legal advice across all aspects of the organization’s activities, with a strong focus on project finance, financial regulation, technology products, AI, governance, compliance and cross-border transactions. This role combines hands-on transactional work with regulatory leadership and company secretarial services.
The successful candidate will be experienced in project finance advisory, within the technology sector, with a preference for exposure to climate, clean energy or sustainability-related sectors. A commitment to advancing global decarbonization efforts and addressing the climate crisis is essential. Our organization is focused on making it easier and faster for the industry to originate, structure and finance climate mitigation projects.
Key Responsibilities:
Project Finance and Transactions
Advise the project finance advisory team on renewable energy and infrastructure projects from origination through financial close
Advise on policies for achieving the Nationally Determined Contributions (NDCs) of sovereign nations as well as carbon trading and transactions
Review, draft, and negotiate project finance and transaction documentation, including term sheets, mandates, NDAs, SPAs, shareholders’ agreements, and financing agreements and highlight legal risks and mitigation strategies
Coordinate with external counsel, lenders, sponsors, investors, and other stakeholders across jurisdictions including Asia, Africa, Europe and North America
Technology, AI and Product launches
Advise the technology and AI teams on new product development and launches including: regulatory compliance, financial services regulation, ESG, cybersecurity, data protection and AI governance, outsourcing and technology contracts and risks
Ensure products are legally compliant across multiple jurisdictions prior to launch.
Regulatory and Licensing
Support the organization’s regulatory strategy and compliance framework as it transitions to a regulated financial institution
Advise on and support the application, licensing, and ongoing regulatory compliance with relevant authorities (e.g. EU, Luxembourg and other jurisdictions)
Design and implement internal policies, governance frameworks, and compliance processes
Support internal and external audits and regulatory reviews.
Corporate, Commercial and Governance
Manage and advise on all cross-border commercial transactions including NDAs, Service Agreements, MOUs, contractor contracts etc.
Develop and maintain contract templates and playbooks
Oversee corporate secretarial matters, corporate filings, and group structure management
Advise on corporate governance, board matters, and shareholder relations
Support strategic initiatives, investments, and group expansions and restructuring
Leadership and Strategy
Provide pragmatic, risk-based legal advice aligned with regulatory expectations and business objectives
Help build and scale the in-house legal function
Manage external counsel efficiently across jurisdictions
Contribute to the company’s long-term strategic and regulatory roadmap
Qualifications and Experience
Education: Fully qualified lawyer and law degree from a recognized institution
Experience: Minimum of 8 -10 years relevant legal experience (law firm, in-house).
Demonstrated experience in:
Project finance (renewables or infrastructure preferred) and carbon trading
Financial services regulation and compliance
In-house role within fintech, financial services, renewable energy, or infrastructure sectors (or top-tier law firm experience with strong in-house exposure
Commercial contracting and negotiation in cross-border, multi-cultural contexts.
Corporate governance and compliance.
Experience working on legal matters involving one or more Asian, African, European and North America jurisdictions.
Ability to operate in a fast-paced, entrepreneurial environment
Excellent commercial judgment and stakeholder management skills
Fluent English required; additional languages are a plus
