As Associate General Counsel - Corporate, you will engage directly with leaders across the company to understand company priorities and goals, trends in our business, and other issues facing our employees and business. We are seeking a senior attorney to be a key member of the Lambda legal team and perform a broad range of legal work with a focus on supporting and overseeing a variety of corporate governance, securities and transactional matters, with a potential focus on preparing for and executing a public offering. This position will work closely with the Finance department on venture financings, debt, corporate governance (including international subsidiaries), and other general corporate matters.
What You’ll Do
- Corporate Transactions: Provide counseling, support, and organization to enable key business initiatives like fundraising, debt financing, M&A, and strategic investments.
- Corporate Governance: Assist in a range of corporate governance matters, including preparing board and committee meeting materials, resolutions, minutes, and written consents, maintaining applicable entity registrations and filings through our secretarial services provider.
- Securities Compliance: Assist with securities law compliance, including the preparation of periodic, current and other relevant reports, filings and statements.
- Subsidiaries: Assist in the formation and dissolution of entities, including international entities, and support changes in entity structure.
- Equity Management: Continue building Lambda’s equity administration program, advising as we consider potential transitions between stock compensation options.
- People: Partner with the People teams to support various initiatives to support Lambda’s Culture. Projects may include advising on employee and management handbooks, and developing and delivering training for employees on various legal adjacent topics.
- Research and Process Improvement: Stay up to date on legal and regulatory requirements relating to the industry and help to formulate responsive company positions and strategies. Leverage technology wherever possible to automate, streamline and otherwise drive process improvements.
- As Needed: We are a relatively small legal team and we often need to pitch in on other areas of legal work - employment, IP, policy development, and contract review. We’re looking for someone eager to explore areas outside of their specialty occasionally.
You
- Have admission to and are in good standing with the California bar (or equivalent with in house waiver/registration).
- Have 8+ years of relevant experience at an in-house legal department or law firm handling corporate legal matters
- Are a strong corporate generalist skill set with experience in governance, securities, strategic transactions, subsidiary management and equity administration
- Have the ability to negotiate and balance legal constraints with business goals
- Strong attention to detail with an ability to provide clear “non-legalese” explanations to members of other teams, including senior management
- Have a results-oriented attitude, excellent decision-making, and ability to prioritize the highest-impact initiatives
- Have the mentality that no task is too big or too small
- Have very strong interpersonal and communication skills, including the ability to communicate effectively with a wide variety of people, collaborate with diverse business groups, and build interdepartmental relationships at all levels.

Salary Range Information
Based on market data and other factors, the annual salary range for this position is $209,000-$300,000. However, a salary higher or lower than this range may be appropriate for a candidate whose qualifications differ meaningfully from those listed in the job description.
