Description
Lidow PC is a boutique law firm dedicated solely to assisting emerging venture and hedge fund managers launch and operate their funds. You will be one of the founding associates joining the firm, and will focus primarily on forming venture and hedge funds, and associated management companies, for our clients. In addition to running and maintaining momentum in the fund formation process, you will be responsible for initial drafts of fund and ancillary documents, compliance analysis, and preparation of necessary filings (including Form D, Form ADV and blue sky notices). You will have significant autonomy and flexibility, and must be ready to work without oversight (but we will provide as much support, training and encouragement as you need).

Responsibilities

  • Draft and negotiate venture capital term sheets for seed through growth investments.
  • Prepare diligence requests and perform standard legal diligence on target portfolio companies.
  • Draft and negotiate transaction documents - mostly NVCA model documents, Series Seed or YC SAFEs.
  • Act as the primary point of contact for clients and opposing counsel w/r/t specific venture investments.
  • Stay up to date, and advise clients, on latest market terms and venture financing trends.
  • Coordinate with fund administrators to facilitate closings, wires and recording of investments.

Requirements

  • Bar admission in California
  • 2+ years of experience in a top investment funds practice
  • Strong understanding of federal and state securities law, and investment adviser and company regulation
  • Familiarity with core and ancillary fund documents, including GP operating agreements and LP side letters
  • Experience running deals without significant oversight
  • Exceptional reasoning, communication and social skills
